Welcome to Intelidevs! These terms and conditions outline the rules and regulations for the use of Intelidevs’ Website and services, located at intelidevs.co.za.

By accessing this website or engaging with our services, you agree to be bound by these terms and conditions. If you do not agree to all the terms and conditions stated herein, please do not use our services.

1. General Provisions
   1.1 Intelidevs reserves the right to update, amend, or change these terms and conditions at any time without prior notice. Continued use of our services after any changes are made constitutes acceptance of the updated terms.
   1.2 These terms apply to all users, including but not limited to clients, visitors, and end-users.

2. Web Services
   2.1 Web services provided by Intelidevs are subject to a minimum contract term of 24 months.
   2.2 Cancellation of services before the end of the 24-month term will result in a cancellation fee of 50% of the total contract value as outlined in the service agreement.
   2.3 Revisions to the delivered project are limited to one round of adjustments, which must be requested within one week of delivery. Additional changes beyond this scope will incur extra charges.

3. Payments, Refunds, and Deposits
   3.1 A non-refundable deposit of 50% of the total project price is required to initiate any project.
   3.2 Once work has commenced, all deposits are non-refundable, regardless of the stage of the project.
   3.3 The remaining 50% of the total project price is due upon delivery of the completed project. Final payments are non-refundable once the completed project has been delivered, even if the client chooses not to proceed with the final project or requests further changes.
   3.4 If payment is not received within the specified timeline, Intelidevs reserves the right to suspend services and/or remove and delete data, files, and content from our servers after multiple attempts to collect payment have been made.

4. Client Responsibilities
   4.1 Intelidevs shall not be held liable for any delays caused by the client, including but not limited to delays in providing required materials, approvals, or feedback, and requests to prioritize other work before the current project.
   4.2 The client is responsible for ensuring timely responses and delivering all necessary materials for the successful and timely completion of the project.

5. Ownership and Intellectual Property
   5.1 Intelidevs retains full ownership of the project code, designs, and deliverables until full payment has been made.
   5.2 In cases where payment remains incomplete, Intelidevs reserves the right to remove or withhold access to the code, files, or services until payment is settled in full.

6. SEO and Other Services
   6.1 SEO services are provided on a month-to-month basis and may be canceled with 30 days’ written notice.
   6.2 Intelidevs does not guarantee specific results from SEO services as outcomes are influenced by various external factors beyond our control.

7. Data and Confidentiality
   7.1 Intelidevs is committed to protecting the confidentiality of client data. We follow strict data protection standards to ensure the security of all client information.
   7.2 Intelidevs shall not be held liable for data breaches caused by external attacks, third-party software, or negligence on the client’s part.

8. Limitations of Liability
   8.1 Intelidevs shall not be held responsible for any direct, indirect, incidental, consequential, or punitive damages arising from the use of our services, including but not limited to loss of data, revenue, or business opportunities, and delays caused by third parties or unforeseen circumstances.
   8.2 Intelidevs is not liable for delays caused by the client’s failure to provide required materials, feedback, or approvals.

9. Indemnification
   9.1 The client agrees to indemnify and hold Intelidevs harmless from any claims, damages, or liabilities arising from the client’s use of the services, including legal fees incurred in defense of such claims.

10. Accessibility and Compliance
    10.1 Intelidevs offers an additional accessibility service to ensure websites meet international standards, such as WCAG.
    10.2 Clients who decline this service are solely responsible for ensuring compliance with accessibility regulations. Intelidevs will not be held liable for any legal issues resulting from non-compliance.

11. Termination of Services
    11.1 Intelidevs reserves the right to terminate services in cases of non-payment, client misconduct, or failure to adhere to these terms.
    11.2 In cases of termination due to non-payment, all data and files hosted on Intelidevs servers will be permanently deleted after multiple attempts to recover payment have been made.

12. Changes to Terms and Conditions
    12.1 Intelidevs may revise these terms and conditions at any time. It is the client’s responsibility to review this page periodically for updates.
    12.2 Clients will be notified of significant changes via email or a notice on our website.

13. Governing Law
    13.1 These terms and conditions are governed by the laws of South Africa. Any disputes will be subject to the exclusive jurisdiction of the courts in South Africa.
